Nanobiotix completes capital increase of around 100 million US dollars
Nanobiotix placed 2,218,467 common shares (including ADS) plus 345,099 pre-funded warrants following full exercise of the overallotment option and raised gross proceeds of about 100 million US dollars. The subscription price was €33.60 per common share ($38.98 per ADS) and represented a 14.92% discount to the volume-weighted average price. Net proceeds are intended to finance <10% the development of JNJ-1900 (NBTXR3), 50–60% the Nanoprimer and other platforms, and 30–40% general corporate purposes; the company expects that, together with existing cash, this will cover funding needs through 2029. The FDA has approved a protocol amendment for the global Phase 3 study NANORAY-312, submitted by sponsor Johnson & Johnson, which removes a planned interim analysis. The final analysis will be adjusted to require fewer events; the readout is expected to occur in a similar timeframe as the originally planned interim analysis.
