Dalata shareholders approve takeover by Pandox–Eiendomsspar joint venture
Shareholders of Dalata Hotel Group overwhelmingly approved the recommended cash offer from the joint venture Pandox Ireland Tuck (Pandox and Eiendomsspar). Consortium shareholders voted 100% in favour at a participation rate of 89.34%, while other shareholders voted 99.87% in favour; all seven resolutions at the extraordinary general meeting received at least 97.73% approval. The takeover is to be effected by a scheme of arrangement under Irish law and remains subject to court approval, expected in October 2025; financial terms were not disclosed. The Dalata Hotel Group has published the offer document for a planned €1.4 billion takeover by a consortium led by Pandox AB and Eiendomsspar AS; shareholders are to vote on 11 September at the Clayton Hotel Dublin Airport. Dalata shareholders are being offered €6.45 in cash per share, and the transaction will be carried out via the newly formed Pandox Irland Tuck Limited. Pandox acquires Dalata Hotel Group for 1.4 billion euros
Pandox AB has announced a recommended cash offer to acquire Dalata Hotel Group plc for approximately 1.4 billion euros. With this acquisition, Pandox will expand its presence in the Northern European hotel markets and plans to further develop the Dalata portfolio together with Scandic Hotels Group.
