RC365 agrees with VBG Consulting an unsecured convertible loan of £3,000,000, the subscription of which is conditional on the FCA approving a prospectus. The loan carries a 12% accruing coupon, a one‑off 6% availability fee payable in cash, 6% in warrants and has a three‑year term. VBG may at any time convert principal, accrued interest and the fee into ordinary shares at 1p; each converted share will receive two warrants (A: 6 months, exercisable at 100% of the conversion price; B: 12 months, exercisable at 125%).
