ARCHIMED buys Esperion for up to $1.1 billion
ARCHIMED funds have signed a takeover agreement for Esperion that values the company at up to about $1.1 billion. Shareholders will receive $3.16 in cash per share plus non-tradable milestone rights (CVR) of up to $100 million, tied to future U.S. net revenues of certain products. The cash payment represents a 58% premium to the April 30, 2026 closing price; the Esperion share currently trades well below the offer price. Esperion sells Japan license rights to Athyrium for $50 million
Esperion sold funds from Athyrium the claim on tiered royalties for Otsuka’s bempedoic acid products in Japan for $50 million. Athyrium will receive, starting January 1, 2026, tiered royalties of 12–33% plus milestone payments until it recoups 2.0× its investment, after which the rights revert to Esperion. Esperion reports strong revenue growth and acquires Corstasis
Esperion recorded total revenue of $408 million in 2025 (+38%) and a 34% increase in prescriptions. The company announced the acquisition of Corstasis Biotherapeutics, including the nasal loop diuretic Enbumyst, with closing expected in early April. International partnerships with Daiichi Sankyo and Otsuka and the "Vision 2040" strategy are intended to further expand the bempedoic acid franchise and the ACLY pipeline.
