Ancora renews takeover offer for H.B. Fuller business unit

Ancora Holdings Group has renewed its bid to buy H.B. Fuller’s Building Adhesive Solutions division after the board rejected an earlier offer. Ancora says it learned of the rejection from Bloomberg and is willing to raise the price after due diligence if necessary, and to complete the deal without a financing condition. H.B. Fuller rejects Ancora offer for building division

H.B. Fuller’s board unanimously rejected an unsolicited takeover bid from Ancora for the Building Adhesives Solutions unit (USD 1.1–1.2 billion), calling the valuation materially undervalued. CEO Teresa J. Rasmussen criticized the lack of financial and operating details; the board also warned of significant operational inefficiencies in a potential spin-off due to shared manufacturing sites. H.B.
